These Terms of Use (the “Terms”) govern access to www.rdiirrigation.com and its RDI-operated pages, forms, downloadable materials, and distributor portal (the “Website”). Responsive Drip Irrigation, LLC, a Florida limited liability company (“RDI,” “we,” “us,” or “our”), operates the Website. “You” means the person accessing the Website and, when that person has authority to act for an organization, that organization. The “RDI Group” consists of Responsive Drip Irrigation, LLC, Responsive Drip Irrigation Manufacturing, Ltd., Responsive Drip Irrigation Materials Trading, Ltd., and Responsive Drip Irrigation USA, LLC. References to “RDI,” “we,” “us,” and “our” mean the Website operator, Responsive Drip Irrigation, LLC, unless expressly stated otherwise.
1 Agreement and Scope
By clicking an acceptance control referring to these Terms, or knowingly using the Website after receiving conspicuous notice that such use signifies agreement, you agree to these Terms to the extent permitted by law. If you do not agree, discontinue use. You must have legal capacity to accept these Terms; use on behalf of an organization requires authority to bind it.
These Terms concern the corporate Website, including information about GrowStream™ technology and distributor inquiries. They do not govern a separate Lazy Sprouts storefront or create an order, product warranty, distributorship, installation contract, or license to manufacture RDI products. Product purchases and commercial relationships are with the entity or entities identified in the applicable separately accepted agreements and are governed by those agreements. An entity’s inclusion in the RDI Group does not, by itself, make it a seller, manufacturer, warrantor, guarantor, agent, or party to another entity’s transaction, or impose joint liability. This provision does not exclude responsibility arising from an entity’s own conduct, a separate agreement, or applicable law. In a conflict concerning their subject matter, those agreements control. The Privacy Policy and Cookie Policy separately explain our data practices; acceptance of these Terms is not consent to optional tracking or marketing.
2 Permitted Use and Website Materials
You may view and download publicly available materials for lawful personal use or internal evaluation of RDI products and business opportunities. Keep ownership notices intact. Except as permitted by law or a separate written license, you may not republish, sell, sublicense, commercially exploit, or materially alter our content, or use our name or materials to imply an endorsement or relationship that does not exist. Ordinary links to publicly available pages are permitted if they are not misleading and do not circumvent access restrictions. Authorized distributors remain subject to their applicable brand and distribution agreements.
3 Prohibited Conduct
You may not compromise Website security, bypass authentication, use another person’s credentials, introduce malware, disrupt operation, submit unlawful or infringing material, impersonate others, harvest personal information, or send unsolicited commercial messages through the Website. Automated collection that circumvents technical restrictions or materially burdens the Website is prohibited. You may not reverse engineer Website software or use improperly obtained confidential information to reproduce RDI technology, except to the extent a restriction is prohibited by applicable law. These Terms do not restrict truthful reviews, lawful criticism, protected reporting, or other nonwaivable rights.
4 Distributor Access
Access to restricted areas requires our authorization. Provide accurate registration information, protect credentials, and promptly report suspected unauthorized access. You are responsible for activity you authorize or that results from your failure to take reasonable precautions with your account. A login does not itself appoint you as a distributor, establish exclusivity, or authorize you to bind RDI. We may restrict access to protect security, investigate misuse, or enforce these Terms, subject to any controlling separate agreement.
5 Intellectual Property and Confidential Materials
Website text, graphics, photographs, videos, manuals, software, logos, and other content are owned by or licensed to Responsive Drip Irrigation, LLC or another applicable RDI Group entity and protected by intellectual-property laws. GrowStream and RDI names and marks belong to their respective owners. RDI technology incorporates a combination of patented inventions and proprietary information, including trade secrets, designs, formulations, processes, methods, and know-how, owned by or licensed to the applicable RDI Group entity. Certain technologies are protected by applicable patents; this statement does not imply that every product, feature, or process is patented. Except for the limited Website-use permissions expressly granted in these Terms or rights provided under a separate applicable agreement or by law, no license or other right under any patent, trade secret, or other intellectual-property right is granted by accessing the Website or receiving its materials.
Confidential technical information belonging to or lawfully held by any RDI Group entity and provided through a restricted area and identified as confidential, or reasonably understood to be confidential from its nature and disclosure circumstances, may be used only for the authorized business purpose. You must protect it with reasonable care, limit disclosure to authorized persons with a need to know and corresponding confidentiality obligations, and refrain from unauthorized copying or disclosure. These duties exclude information lawfully public, already known without restriction, independently developed without use of the information, or lawfully received without a duty of confidence. Required legal disclosures are permitted, with advance notice when lawful and practicable. Trade-secret duties continue for as long as the information qualifies for protection; other confidentiality duties continue for three years after access ends. A separate nondisclosure agreement controls if applicable.
6 Inquiries and Submitted Information
Provide only information you have authority to disclose. You retain ownership of your submissions and authorize us to use them as reasonably necessary to respond to your request and provide the requested service, subject to our Privacy Policy and any applicable confidentiality agreement. Do not send trade secrets, confidential inventions, sensitive personal information, or third-party confidential materials through public inquiry forms without first arranging an appropriate secure channel and written confidentiality terms. Submission of an inquiry does not obligate either party to enter a transaction. We will obtain separate permission before using identifiable customer submissions as public testimonials or promotional case studies.
7 Product Information and Project Results
The Website provides general product and project information. It is not a substitute for current product instructions, site-specific irrigation design, engineering, agronomic advice, required permits, or an applicable written specification. Availability, specifications, and offerings may vary by location and may change prospectively.
Water or fertilizer savings, plant performance, project examples, photographs, and testimonials describe particular conditions or experiences. Results depend on design, installation, maintenance, water quality and pressure, soil or growing medium, climate, plant type, and other site conditions. No particular result, crop yield, plant survival, or level of savings is guaranteed unless expressly provided in a binding written commitment. This paragraph does not retract an express warranty or excuse an inaccurate or misleading product claim.
References to reclaimed water, treated wastewater, or fertigation do not establish that any water source is potable or suitable for a particular use. Obtain qualified advice and comply with applicable water-quality, public-health, backflow-prevention, environmental, and installation requirements. Follow current instructions and any applicable written warranty.
8 Third Parties
Links, social-media features, and distributor referrals may lead to independently operated services. Their own terms and privacy notices apply. Unless a separate written agreement states otherwise, an independent distributor or installer is responsible for its own quotations, contracts, advice, and services and cannot create obligations for RDI without authority. Listing or referring a provider does not expand RDI’s warranties or make RDI a party to that provider’s contract. This provision does not exclude responsibility imposed on RDI by applicable law.
9 Website Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS GENERAL INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. We do not warrant uninterrupted or error-free access or that the Website will be free of harmful components. These Website disclaimers do not disclaim a separately applicable product warranty, excuse fraud, or eliminate nonwaivable statutory obligations.
10 Limitations of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE RDI GROUP ENTITIES AND THEIR RESPECTIVE OFFICERS, MANAGERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF USE OF OR INABILITY TO USE THE WEBSITE, EVEN IF ADVISED OF THEIR POSSIBILITY. Their aggregate liability for claims arising solely from Website access or use will not exceed the greater of US $300 or the amount you paid RDI specifically for Website access in the twelve months before the event giving rise to the claim.
These limitations do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or liability that cannot lawfully be excluded or limited. They do not govern product-defect, product-performance, or installation claims, override a separate agreement, or limit nonwaivable privacy or consumer remedies. Where a limitation is not permitted, it applies only to the extent permitted by law.
11 Indemnification for Business Users
If you use the Website for an organization or commercial purpose, you agree, to the extent permitted by law, to indemnify and hold harmless the RDI Group entities and their respective officers, managers, and employees against third-party claims and reasonable costs, including attorneys’ fees, caused by your unlawful misuse of the Website, material breach of these Terms, or infringement through material you submit. This obligation excludes claims to the extent caused by an indemnified party’s negligence, misconduct, or breach. The entity seeking indemnification will give prompt notice, reasonable cooperation, and a reasonable opportunity to participate in the defense. No settlement may impose liability or nonmonetary obligations on you without your consent, not unreasonably withheld.
12 Florida Law and Venue
Florida law governs these Terms, without regard to conflict-of-law principles and subject to mandatory laws that apply to you. Any action arising out of or relating to these Terms or Website use must be brought exclusively in the state courts located in Manatee County, Florida, or, if federal subject-matter jurisdiction exists, in the United States District Court for the Middle District of Florida. Each party consents to personal jurisdiction and venue in those courts. This provision does not restrict an eligible individual small-claims action, a regulatory complaint, or a nonwaivable right to proceed in another forum.
13 Changes and General Provisions
We may update these Terms prospectively by posting the revised version and effective date. Material changes will receive appropriate notice and, where required, renewed acceptance. Changes do not retroactively govern accrued claims. We may modify or discontinue Website features subject to separate contractual obligations. Provisions concerning ownership, confidentiality, accrued obligations, liability, and disputes survive termination as applicable. An unenforceable provision will be severed only to the extent necessary; the remaining provisions continue. Failure to enforce a provision is not a waiver. These Terms constitute the agreement concerning Website use, subject to the separate agreements identified above. Each RDI Group entity other than the Website operator is an intended third-party beneficiary of Sections 5, 9, 10, and 11, solely to the extent those provisions protect that entity, its rights, or its information. Each may enforce those protections in its own name, subject to the applicable exclusions, limitations, and dispute provisions of these Terms, including Section 12. That beneficiary status does not itself impose the Website operator’s obligations on another entity. No other third-party beneficiary rights are created.
